Wisconsin-based Nelson Global Products Inc., an automotive parts supplier, has signed a binding offer to buy Donaldson Co. Inc.’s exhaust and emissions business.
Nelson Global serves on-highway, off-highway, industrial and powersports markets in North America, India, Brazil, China and Australia.
Donaldson’s Exhaust & Emissions business includes manufacturing facilities in Auburn, Alabama, Domjean, France, and Conde-sur-Noireau, France, and laboratory facilities in Bloomington, Minnesota and Leuven, Belgium.
“This acquisition will strengthen Nelson’s position in the global on-highway, off-highway and industrial markets as a comprehensive emission systems supplier, enhancing the value we provide our customers,” says Steve Scgalski, chief executive officer of Nelson.
Donaldson will engage in a consultation with its employee representative committees in Europe to review Nelson’s offer. Pending completion of the consultation process, the parties’ entry into the purchase agreement and satisfaction of closing conditions and necessary approvals, the transition is expected to close in the coming months.
No financial terms were disclosed but Donaldson’s E&E business contributed approximately $120 million of revenue to the Engine Products segment in fiscal 2019.
Nelson Global Products, a Wind Point Partners company, has over 2,800 employees and 16 manufacturing facilities in the United States (6), India (4), Mexico (2), Brazil (2), China (1) and Australia (1). Two additional manufacturing facilities are scheduled to open in India in Q2 2020.
